Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LuciusOS service (the "Service") provided by LearnY OÜ ("we", "us"). By accessing or using the Service, you agree to these Terms.
1. The Service
LuciusOS is an AI-native operational workspace: a permission-native company memory with specialized agents that propose actions for human approval. The Service assists your team; it does not replace professional judgment, and meaningful actions require explicit human approval.
2. Accounts & eligibility
You are responsible for the accuracy of your account information and for maintaining the security of your credentials and your organization's use of the Service. You must have the authority to connect any data source you connect and to permit its processing.
3. Customer data & your responsibilities
- You retain all rights to the data you bring into or create in the Service ("Customer Data").
- You grant us a limited license to process Customer Data solely to provide and secure the Service, as described in the Privacy Policy.
- You are responsible for ensuring you have a lawful basis to process the data you connect, including any personal data of candidates or third parties, and for complying with applicable employment, privacy, and anti-discrimination laws.
4. Acceptable use
You agree not to misuse the Service, including by attempting to breach its permission controls, reverse-engineer it, use it to make unlawful automated decisions about individuals, or upload data you have no right to process. The Service does not produce candidate scores, rankings, or automated rejections, and must not be used to circumvent that design.
5. AI output
Answers and suggestions are generated with the assistance of AI models and are grounded in your permissioned evidence, but may contain errors. You are responsible for reviewing outputs before relying on or approving any action based on them.
6. Availability & changes
We may modify, suspend, or discontinue features of the Service. We aim to give reasonable notice of material changes. During early access, the Service is provided on an evolving basis.
7. Intellectual property
The Service, including its software and design, is owned by us and our licensors. These Terms grant you no rights to our intellectual property except the limited right to use the Service.
8. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve months before the claim.
10. Term & termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. On termination, Customer Data is handled per the retention and deletion terms in the Privacy Policy.
11. Governing law
These Terms are governed by the laws of Estonia, and Harju County Court in Tallinn, Estonia will have exclusive jurisdiction, without prejudice to any mandatory consumer protections that apply to you.
